Terms of Service
Effective 1 September 2026
The short version
- Agent Telco gives software controlled access to UK SMS numbers.
- It does not provide voice calls or access to 999 or 112, and SMS delivery is never guaranteed.
- You are responsible for every agent, integration, recipient, and message using your workspace.
- Prices and limits are shown before payment. You can cancel a rolling subscription through the billing portal.
The numbered sections below are the agreement.
1. Who we are
Clyde Works Limited (SC897847), registered in Scotland with its registered office at 48 West George Street, Glasgow, Scotland, G2 1BP, trades as Agent Telco. These terms are a contract between Clyde Works Limited and the business or organisation that opens an account. Contact us at support@sharedmobile.co.uk.
2. The service
Agent Telco provides UK mobile numbers, SMS sending and receipt, a REST API, an MCP service, browser controls, OAuth access, API keys, and signed customer webhooks. Numbers cannot make or receive voice calls and cannot contact 999 or 112. Network filtering, handset availability, roaming, upstream outages, and recipient settings can delay or prevent SMS delivery.
The service is in a private pilot. We may limit access, volume, features, or supported integrations while the pilot runs. We will not materially reduce paid core functionality during a billing period without notice unless security, law, supplier action, or recipient harm requires immediate action.
3. Accounts and authority
Agent Telco is for business and organisational use, including sole traders. We do not accept consumer use. You confirm that you are at least 18, act for a trade or organisation, and can bind it to these terms. Keep account credentials, API keys, OAuth tokens, webhook secrets, and recovery codes secure. You are responsible for members, agents, applications, and integrations you authorise.
4. Fees, limits, and billing
Plans are billed in advance at the price and interval shown before checkout. VAT is added where applicable. A plan may include limits for numbers, SMS segments, API requests, and estimated supplier spend. Usage is checked before provider-backed work. If billing or a required supplier is unavailable, Agent Telco may reject new paid operations rather than incur unapproved spend.
You can manage or cancel a rolling subscription through the billing portal. Cancellation takes effect at the end of the current paid period unless the checkout terms say otherwise. Fees already billed are not refundable except where these terms or the law require a refund. We may change prices with at least one month's notice. You may cancel before the new price takes effect.
5. Messaging and agents
You must follow the Acceptable Use Policy and all laws that apply to your messages. Automated software does not shift responsibility to us. You must decide where an agent may send, what approval it needs, how it handles replies, and when a person must intervene. You must have a lawful basis and any consent required for each message, identify the sender where required, and honour opt-outs.
6. Numbers and switching
Numbers come from upstream telecom providers and remain subject to their rules and the UK Numbering Plan. We may replace a number where a provider, regulator, security issue, or numbering change requires it, with as much notice as reasonably possible. Do not call the release operation if you intend to keep a number. Contact support first to discuss porting. Where number portability law applies, we will provide porting on reasonable terms and will not charge you directly for it.
7. Your content and software
You keep your rights in messages, prompts, integration code, and other content you submit. You give us the limited permission needed to store, transmit, display, and deliver it as part of the service. You must have the rights needed to submit it. You own and operate your agents and receiving endpoints. We are not responsible for their decisions, availability, or security.
8. Data protection
Each party must comply with the data protection laws that apply to it. Where we process message and contact information on your behalf, the Data Processing Addendum forms part of these terms.
9. Availability and changes
We do not promise uninterrupted service or delivery of any particular SMS. We may maintain, repair, or change the service. We will give at least one month's notice of a material contractual change unless law, security, fraud, or an upstream emergency requires faster action. If a material change disadvantages you, you may cancel before it takes effect.
10. Liability
Nothing excludes liability that cannot legally be excluded, including liability for death or personal injury caused by negligence, fraud, fraudulent misrepresentation, or wilful misconduct. Subject to that, neither party is liable for indirect or consequential loss, lost profits, or loss caused by the other party's systems. Each party's total liability arising from the service is limited to the fees you paid us in the 12 months before the event giving rise to the claim. The cap does not limit your payment duties or liability for unlawful messaging through your workspace.
11. Suspension and termination
We may suspend affected access immediately for fraud, unlawful use, security risk, supplier restrictions, unpaid fees, or risk of harm to recipients or networks. For another curable material breach, we will normally give you 14 days to fix it. Either party may end the service at the end of a paid period. Contact support before closure so we can settle live number operations, exports, credentials, and billing.
12. General terms
You may not transfer this agreement without our written consent. We may transfer it as part of a sale or reorganisation of the service if your rights are not reduced. If a term is unenforceable, the rest remains in effect. A delay in enforcing a term is not a waiver. These terms, the Acceptable Use Policy, and the Data Processing Addendum are the whole agreement about Agent Telco.
13. Law and disputes
These terms are governed by Scots law and the Scottish courts have exclusive jurisdiction. This does not remove any right you cannot waive under applicable telecom or data protection law. Our Complaints Code explains how to raise a complaint before court action.
